Strategic investment will fund drilling, resource expansion and technical studies at the Pecoy copper-gold project in southern Peru
Pecoy Copper Corp. has secured commitments for approximately C$49.8 million in strategic equity financing, with major copper producer Hudbay Minerals Inc. leading the investment alongside another strategic investor.
The financing is aimed at advancing Pecoy Copper’s flagship Pecoy copper-gold project in southern Peru, providing additional capital for exploration, resource definition and expansion, geological and metallurgical studies, and technical work supporting a planned updated mineral resource estimate. The Vancouver-based explorer announced on November 2 that it had entered into subscription agreements with Hudbay and an additional strategic investor for a non-brokered private placement.
Under the agreements, Hudbay will subscribe for 14,914,100 common shares, while the second investor will subscribe for 9,762,425 shares. Both investments are priced at C$2.02 per share, generating gross proceeds of approximately C$49.8 million.
Hudbay’s portion represents approximately C$30.1 million, while the unnamed strategic investor is committing approximately C$19.7 million. The issue price represents a 10% premium to Pecoy’s 10-day volume-weighted average price on the TSX Venture Exchange as of October 30. (GlobeNewswire)
A strategic vote of confidence
The financing gives Pecoy considerably more financial capacity to move its exploration program forward while bringing a major established copper producer closer to the project.
Hudbay operates the Constancia copper mine in Peru and has more than a decade of operating experience in the country. Mining analysts have characterized Hudbay’s investment as a potentially significant endorsement of Pecoy’s geological and development potential. (The Northern Miner)
Following completion of the financing, Hudbay and the second investor are each expected to hold approximately 9.99% of Pecoy Copper on a partially diluted basis.
The transaction therefore gives Pecoy access to strategic capital without either investor initially crossing the 10% ownership threshold.
Pecoy CEO and President Vincent Metcalfe said the investments represent an important milestone for the company and reflect the geological potential of the Pecoy system and progress made through its exploration programs. (Peru Business Journal)
Capital directed toward exploration
The new financing is expected to support several workstreams at Pecoy.
These include:
- Continued drilling programs
- Mineral resource definition
- Resource expansion
- Geological studies
- Metallurgical testing
- Technical studies
- Work supporting an updated mineral resource estimate
- General corporate and working-capital requirements
The company is seeking to expand its understanding of the mineralized system while generating the technical information needed for the next stage of project development. (GlobeNewswire)
The significance of the financing extends beyond simply adding cash to Pecoy’s balance sheet. Exploration-stage mining companies must continually secure capital to drill, define resources and conduct the engineering and metallurgical studies required to determine whether a mineral discovery can eventually become an economically viable mine.
The new investment gives Pecoy additional runway to undertake that work.
A large copper system in southern Peru
Pecoy Copper is advancing the Pecoy Copper-Gold-Molybdenum-Silver Project together with the nearby Tororume Project in Peru’s Arequipa region.
The two projects cover approximately 19,800 hectares. Pecoy is described as a large undeveloped porphyry system located at approximately 1,650 metres above sea level, with access to established infrastructure, power, water and Pacific ports. (Yahoo Finance)
The Pecoy project is approximately 275 kilometres northwest of Arequipa and benefits from proximity to transportation and other infrastructure, factors that could become increasingly important if exploration ultimately supports development of a commercial mining operation. (The Northern Miner)
Resource expansion is the next major focus
Pecoy’s exploration strategy is centered on better defining the size, grade and characteristics of the mineralized system.
An April 2025 mineral resource estimate reported by The Northern Miner outlined approximately 865 million inferred tonnes grading 0.34% copper, together with molybdenum, gold and silver. The estimate represented approximately 6.45 billion pounds of contained copper using a 0.23% copper cut-off. (The Northern Miner)
Importantly, the existing resource classification is inferred, and the published resource does not demonstrate economic viability. Additional drilling, geological interpretation, metallurgical work and engineering studies are therefore required before conclusions can be drawn about potential mine development.
That distinction is critical in the mining sector: a large mineral resource does not automatically constitute an economically mineable deposit.
Hudbay receives investor rights
The transaction also creates a strategic relationship between Pecoy and Hudbay beyond the immediate capital injection.
Subject to closing and applicable ownership thresholds, Hudbay will receive rights allowing it to participate in future equity financings and maintain its pro-rata ownership, up to the 9.99% level.
Hudbay will also have the right to nominate one director to Pecoy’s board, or up to two directors if Pecoy’s board eventually consists of at least ten directors. (Orestocks)
For Pecoy, that arrangement could provide access not only to capital but also to the technical, operational and strategic experience of an established mining company operating in Peru.
For Hudbay, the investment provides exposure to another copper development opportunity in a country where it already has significant operating experience.
Why copper matters
The transaction comes as mining companies continue to pursue copper resources capable of supporting long-term supply.
Copper is fundamental to electrical infrastructure, power transmission, renewable-energy systems, electric vehicles, telecommunications and data-center infrastructure.
Developing new copper supply, however, can take many years. Exploration companies must progress from discovery through resource definition, metallurgical testing, engineering, permitting, financing and ultimately construction before production can begin.
Pecoy’s latest financing is therefore best viewed as a step in that longer development process rather than evidence that a new mine is imminent.
Financing still requires regulatory approval
The strategic financing is not yet equivalent to completed funding.
Pecoy said closing is expected on or about November 5, 2026, subject to customary closing conditions and regulatory approvals, including acceptance by the TSX Venture Exchange. The newly issued shares will also be subject to the applicable statutory hold period. (GlobeNewswire)
Until those conditions are satisfied, the financing should be regarded as an announced transaction rather than fully completed capital.
What to watch next
The most important developments for investors and the broader mining industry will be the completion of the financing, the company’s subsequent drilling results, resource-definition work and the planned updated mineral resource estimate.
The new capital gives Pecoy the ability to accelerate its technical program and test additional portions of the mineralized system.
The key question now is whether continued exploration can convert the project’s geological potential into a larger, better-defined and ultimately economically attractive mineral resource.
For Hudbay, the investment creates an opportunity to gain strategic exposure to a copper project in a country where it already has operational experience. For Pecoy, the deal provides both financial resources and a significant strategic shareholder at a critical point in the project’s exploration cycle.
The C$49.8 million commitment therefore represents more than a conventional junior-mining financing. It places Pecoy in a stronger financial position to pursue the next stage of exploration while giving Hudbay a strategic foothold in a developing copper project in southern Peru.
